Terms of Service
These Terms of Service ("Terms") govern your use of the website at prime-maintenance.ca and any services provided by Prime Property Maintenance ("Prime", "we", "our", or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
01 Services Provided
Prime Property Maintenance provides commercial and strata building maintenance services, including but not limited to janitorial services, building management, concierge services, window cleaning, seasonal exterior maintenance, parking and parkade care, and plumbing coordination (collectively, "Services") to properties located in Metro Vancouver and the Fraser Valley.
The specific scope, frequency, and pricing of Services for each client are defined in a separate written service agreement or proposal ("Service Agreement"). These Terms apply in addition to any such Service Agreement. In the event of a conflict, the Service Agreement prevails.
02 Service Agreements & Quotes
All quotes provided by Prime — whether through our website, by email, or by phone — are estimates only and are not binding until confirmed in a signed Service Agreement. Quotes are valid for 30 days from the date of issue unless otherwise stated.
A Service Agreement becomes binding only upon written acceptance by both parties. Prime reserves the right to decline or withdraw any quote prior to execution of a Service Agreement.
03 Payment Terms
Unless otherwise specified in a Service Agreement, the following payment terms apply:
- Invoices are issued monthly in advance for recurring services, or upon completion for one-time services.
- Payment is due within 15 days of the invoice date.
- Accepted payment methods include cheque, electronic funds transfer (EFT), and credit card (where available).
- Overdue balances are subject to a late fee of 1.5% per month (18% per annum), compounded monthly.
- Prime reserves the right to suspend services on accounts overdue by more than 30 days, without liability for any resulting losses.
04 Cancellation & Termination
Either party may terminate a recurring Service Agreement by providing written notice as specified in the applicable Service Agreement (typically 30 days). In the absence of a specific notice period, 30 days' written notice is required.
Prime may terminate a Service Agreement immediately, without notice, if the client fails to make payment when due, breaches any material term of these Terms or the Service Agreement, or engages in conduct that poses a risk to the safety of Prime's employees or contractors.
Fees paid for services not yet rendered at the time of termination will be refunded on a pro-rated basis, less any outstanding amounts owed to Prime.
05 Liability Limitations
Prime will perform all Services with reasonable care and skill. However, to the fullest extent permitted by applicable law:
- Prime's total liability to any client for any claim arising from or related to the Services shall not exceed the total fees paid by that client in the three months preceding the claim.
- Prime is not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of business, or loss of data, even if advised of the possibility of such damages.
- Prime is not responsible for pre-existing damage to property, or for damage caused by conditions outside Prime's reasonable control, including structural defects, pest infestations, or pre-existing water damage.
- Prime is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including extreme weather, labour disputes, supply chain disruptions, or government actions.
Nothing in these Terms limits liability for death or personal injury caused by Prime's negligence, or for any other liability that cannot be excluded by law.
06 Insurance & Compliance
Prime maintains general liability insurance and WorkSafeBC coverage for all employees and contractors performing Services. Certificates of insurance are available upon written request.
Clients are responsible for ensuring that Prime's personnel have safe and lawful access to all areas where Services are to be performed, and for notifying Prime of any known hazards, restricted areas, or special access requirements.
07 Intellectual Property
All content on this website — including text, images, logos, and design — is the property of Prime Property Maintenance and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or use any content from this website without prior written permission from Prime.
08 Website Use
You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not attempt to gain unauthorised access to any part of the website, introduce malicious code, or use automated tools to scrape or harvest content.
Prime reserves the right to modify, suspend, or discontinue the website at any time without notice.
09 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.
10 Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our website or Services after changes are posted constitutes your acceptance of the revised Terms.
